  1. 1. Introduction 

These Terms and Conditions govern the use of the Timora HR & Payroll System (“System”), provided by JAF Digital Group Inc. (“Company”). By using this system, you (“User” or “Client”) agree to comply with and be bound by these terms. 

  1. 2. Definitions 
  • System: The Timora Payroll software, including all features and modules. 
  • Client: The company or entity subscribing to the system. 
  • User: Any authorized person accessing the system. 
  • Subscription: The chosen plan and pricing for system access. 
  • Customization: Any modifications or additional features requested by the Client. 
  1. 3. Scope of Services 
  • Payroll Processing: Automated computation of salaries, deductions, and tax contributions. 
  • Government Compliance: Integration with SSS, PhilHealth, Pag-IBIG, and BIR. 
  • Timekeeping & Attendance Management: Supports biometric, mobile, and web-based tracking. 
  • Reports & Analytics: Generation of payroll summaries, deductions, and compliance reports. 
  • Multi-Payment Integration: Supports bank transfers, ATM disbursement, e-wallets, and checks. 
  • Customization: Available based on the Client’s requirements (subject to additional fees). 
  1. 4. Subscription & Payment Terms 
  • All new clients are eligible for a 7-day free trial to explore the features of the platform. After the trial period, the client must choose a subscription plan to continue using the service. 
  • Clients may choose from monthly, yearly, or one-time purchase options. 
  • Plan Packages: 
  • Core Plan – ₱5,000/month (for 10+ employees) 
  • Pro Plan – ₱9,410/month (for 100+ employees) 
  • Elite Plan – ₱14,310/month (for 200+ employees) 
  • Mobile – ₱20/month/employee 
  • Others – ₱49.00/month/employee 
  • Annual Payment Discount: Receive a 5% discount for annual payments on any plan. 
  • Add-Ons may be purchased separately and come with either a monthly fee or a one-time purchase cost, depending on the feature selected. 
  • One-Time Purchase Plan: Includes free 1-year customization and support. 
  • After the free support period, an optional support fee of PHP 5,000 per month applies with a service agreement. 
  • Without a service agreement, support will be charged at PHP 550 per hour. 
  • Payments must be made in accordance with the agreed payment schedule. 
  1. 5. Data Privacy & Security 
  • The system complies with data protection laws to ensure the confidentiality of payroll data. 
  • All user data is encrypted and securely stored in compliance with industry standards. 
  • The Company is not liable for any unauthorized access due to weak passwords or misuse by Users. 
  1. 6. User Responsibilities 
  • Users must provide accurate employee and payroll data. 
  • Clients are responsible for verifying payroll calculations before final disbursement. 
  • The Client is responsible for securing login credentials and system access. 
  • Any modifications to the system outside the agreed scope must be requested formally. 
  1. 7. System Availability & Support 
  • The system operates 24/7, except during scheduled maintenance or unforeseen technical issues. 
  • Standard support is available Monday to Friday, 9 AM to 6 PM (via Email, Phone, and Viber). 
  • Emergency support for critical issues is available upon request. 
  • Chat Bot is available anytime for knowledge base and FAQ related inquiries. 
  1. 8. Limitation of Liability 
  • The Company shall not be liable for any payroll errors caused by incorrect data entry or misuse. 
  • The Company is not responsible for financial losses due to delayed salary disbursement caused by third-party banking institutions. 
  • The maximum liability of the Company shall not exceed the total amount paid by the Client for the last 3 months of service. 
  1. 9. Termination & Cancellation 
  • Clients may cancel their subscription with 30-day prior notice. 
  • The Company may terminate services after five (5) days from notice if: 
  • The Client violates these Terms & Conditions. 
  • Payments are overdue for more than 60 days. 
  • The Client engages in fraudulent or illegal activities using the system. 
  • The relationship between the Client and the Company becomes strained to the extent that it affects the performance or continuation of services 
  • Upon termination, access to the system and data export will be provided for 30 days before permanent deletion. 
  1. 10. Updates & Modifications 
  • The Company reserves the right to update these Terms & Conditions at any time. 
  • Clients will be notified of significant changes at least 15 days in advance. 
  • Continued use of the system after updates implies acceptance of the revised terms. 
  1. 11. Governing Law 
  • These Terms & Conditions shall be governed by the laws of the Republic of the Philippines. 
  • Any disputes arising from these Terms shall be resolved through arbitration or in the appropriate courts within Metro Manila. 
  1. Intellectual Property Rights

All rights, title, and interest in and to the System, including but not limited to its software code, designs, trademarks, and other intellectual property, remain the exclusive property of JAF Digital Group Inc. The Client retains ownership of all data entered into the System but grants the Company a non-exclusive, royalty-free license to process such data solely for the purpose of providing the services described herein. 

  1. Acceptable Use Policy

The Client agrees not to misuse the System, including but not limited to reverse engineering, copying, reselling, sublicensing, or using it for any fraudulent, unlawful, or prohibited activity. 

  1. Service Level Agreement (SLA)

The Company shall use commercially reasonable efforts to maintain system uptime of at least 99.5% per month, excluding scheduled maintenance and circumstances beyond the Company’s control. Scheduled maintenance will be communicated to the client at least 24 hours in advance. 

  1. Refund & Proration Policy

Unless otherwise stated in writing, subscription fees are non-refundable. In case of plan upgrades or downgrades during a billing cycle, charges will be prorated based on the remaining period of the subscription. 

  1. Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiations. If unresolved within 30 days, the matter shall proceed to mediation prior to arbitration or court proceedings. 

  1. Data Retention & Backup Policy

Upon termination of services, client data will be retained for 30 days before permanent deletion. Backups are performed daily and retained for up to 90 days for disaster recovery purposes. 

  1. Indemnification

The Client agrees to indemnify, defend, and hold harmless JAF Digital Group Inc. and its affiliates from and against any claims, liabilities, damages, losses, or expenses arising from the Client’s misuse of the System or any violation of these Terms. 

  1. Force Majeure

The Company shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, power outages, cyberattacks, or government actions. 

  1. Third-Party Integrations Disclaimer

The system may integrate with third-party services such as banking institutions and government portals. The company is not responsible for any downtime, errors, or issues caused by these third parties. 

  1. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the term of the agreement and not to disclose such information to any third party without prior written consent, except as required by law.
